Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your use of the PathWatch website monitoring platform (“Service”), operated by Vertexion Ltd, a company registered in England and Wales (company number pending).

PathWatch provides automated website and API monitoring, including uptime checks, performance monitoring, and real browser checks. By creating an account or using the Service, you agree to these Terms.

2. Account Terms

• You must be at least 16 years old to use PathWatch.
• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials, API keys, and runner tokens.
• All resources in PathWatch are scoped to an organisation. Each user receives a personal organisation on sign-up and may create or be invited to additional organisations.
• You are responsible for all activity that occurs under your account or within organisations you administer.
• You must notify us immediately at support@pathwatch.app if you suspect unauthorised access to your account.

3. Acceptable Use

You may use PathWatch to monitor websites, APIs, and services that you own or have explicit permission to monitor. You agree not to:

• Use the Service to conduct denial-of-service attacks, load testing, or stress testing against targets.
• Monitor targets for the purpose of scraping, data harvesting, or competitive intelligence gathering without authorisation.
• Use the Service to monitor illegal content or to facilitate any unlawful activity.
• Attempt to circumvent rate limits, entitlement restrictions, or other platform safeguards.
• Reverse-engineer, decompile, or tamper with the PathWatch runner software or API.
• Share or resell your PathWatch account or access without our written consent.

4. Service Availability

We strive to maintain high availability of the PathWatch platform but do not guarantee uninterrupted service. Specifically:

• The Service is provided on a best-effort basis. We do not offer a formal SLA for plans below the Enterprise tier.
• We will provide reasonable advance notice (typically 24 hours) for planned maintenance that may affect service availability.
• We are not liable for downtime caused by factors beyond our reasonable control, including third-party infrastructure providers, network outages, or force majeure events.

5. Intellectual Property

The PathWatch platform, including its software, design, documentation, and branding, is the intellectual property of Vertexion Ltd. You may not copy, modify, or redistribute any part of the Service without our written consent.

Your data remains yours. You retain all rights to the monitoring configuration, check results, and other data you create or upload through the Service. We claim no ownership over your data.

6. Billing & Payment

PathWatch offers a free tier and several paid subscription plans. Key billing terms:

• All payment processing is handled by Paddle.com Market Limited (“Paddle”), who acts as our Merchant of Record. Paddle is responsible for payment processing, invoicing, sales tax, and VAT.
• Paid plans are billed monthly or annually in advance, depending on the billing cycle you select.
• Prices are displayed inclusive or exclusive of tax depending on your region, as determined by Paddle.
• We may change pricing with at least 30 days’ written notice. Price changes do not affect your current billing period.
• The free tier is available without a payment method and may be used indefinitely.
• By subscribing to a paid plan, you agree to Paddle’s terms of service and privacy policy.

7. Cancellation & Termination

• You may cancel your paid subscription at any time through your account settings or by contacting support@pathwatch.app. Cancellation takes effect at the end of your current billing period.
• Upon cancellation, your account is downgraded to the free tier. Your data is retained according to free-tier retention limits.
• We may suspend or terminate your account if you violate these Terms, engage in prohibited use, or fail to pay applicable fees. We will attempt to provide notice before suspension except in cases of serious or repeated violations.
• You may delete your account entirely at any time. Account deletion is permanent and all associated data will be removed within 30 days.

8. Data & Privacy

We collect and process personal data as described in our Privacy Policy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

We will not sell your personal data to third parties. We process data only as necessary to deliver the Service, handle billing, provide support, and improve the platform.

9. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied.
• Vertexion Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
• Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

10. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days’ notice via email or a prominent notice within the Service.

Your continued use of PathWatch after the effective date of updated Terms constitutes acceptance of those changes. If you do not agree with the updated Terms, you should stop using the Service and cancel your account.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
